According to the�National Association of Publicly Traded Partnerships�(NAPTP), of the approximately 120 publicly traded partnerships, two are classified as Oilfield Services.�Cypress Energy Partners�(NYSE: CELP) is a growth-oriented master limited partnership (MLP) providing saltwater disposal and other water and environmental services to US onshore oil and natural gas producers and trucking companies in North Dakota and west Texas. This partnership debuted as the first MLP initial public offering (IPO) of 2014, and was first mentioned here in the March article�Play Ball: More IPOs on Deck.
The other oilfield services partnership is one we are asked about frequently,�Seadrill Partners�(NYSE: SDLP). SDLP is a growth-oriented limited liability company (LLC) formed in 2012 by�Seadrill�(NYSE: SDRL), one of the world’s largest international offshore drilling contractors. Like its parent, Seadrill Partners is based outside the US, and like several other marine transportation partnerships it has chosen to pay taxes as a corporation. ATP Oil & Gas Corporation, incorporated in 1991, is engaged in the acquisition, development and production of oil and natural gas properties. As of December 31, 2011, the Company had estimated net proved reserves of 118.9 Million barrels of crude oil equivalent (MMBoe), of which approximately 75.9 MMboe (64%) were in the Gulf of Mexico and 42.9 MMBoe (36%) were in the North Sea. The reserves consisted of 78.6 Million barrels (MMBbls) of oil (66%) and 241.5 billion cubic feet (Bcf) of natural gas (34%). Its proved reserves in the deepwater area of the Gulf of Mexico account for 62% of the Company�� total proved reserves and its proved reserves on the Gulf of Mexico Outer Continental Shelf account for 2% of its total proved reserves. During the year ended December 31, 2011, the Company acquired three licenses in the Mediterranean Sea covering potential natural gas resources in the deepwater off the coast of Israel (East Mediterranean). On August 17, 2012, ATP Oil And Gas Corp filed for Chapter 11 bankruptcy protection.
The Company�� natural gas reserves are split between the Gulf of Mexico (57%) and the North Sea (43%). Of its total proved reserves, 8.3 MMBoe (7%) were producing, 19.0 MMBoe (16%) were developed and not producing and 91.6 MMBoe (77%) were undeveloped. The Company�� average working interest in its properties at December 31, 2011, was approximately 81%. The Company operates 92% of its platforms. At December 31, 2011, in the Gulf of Mexico, it owned leasehold and other interests in 38 offshore blocks and 49 wells, including 23 subsea wells. The Company operates 43 (88%) of these wells, including 100% of the subsea wells. In the North Sea, it also had interests in 13 blocks and two Company-operated subsea wells. As of March 15, 2011, the Company owned an interest in 13 platforms, including two floating production facilities in the Gulf of Mexico, the ATP Titan at its Telemark Hub and the ATP Innovator at its Gomez Hub. It operates the ATP Innovator and the ATP Titan.

Take-Two Interactive Software (NASDAQ: TTWO) was down, falling 3.32 percent to $19.95 after the company issued a weak outlook. For the first quarter, the company expected an adjusted loss of $0.35 to $0.25 per share on revenue of $120 million to $125 million. However, analysts expected a loss of $0.12 per share on revenue of $209.6 million.

Aside from the SolarCity Corp earnings report, it should be said that Vivint Solar Holdings Inc is scheduled to report Q3 2014 earnings after the market close on Monday (November 10th) while Real Goods Solar, Inc reported delayed Q2 2014 earnings on August 19th (a wider quarterly loss led to the ousting of its CEO with the company saying it will�focus on residential rooftops rather than money-losing commercial installations). SolarCity Corp has gotten extra investor attention as its CEO is Lyndon Rive while�the company���chairman is�his cousin, Tesla billionaire Elon Musk.

Real Goods Solar Inc.(RGSE) said it has agreed to raise about $7 million in a private placement financing transaction. Under the terms of the agreement, RGS will issue units consisting of an aggregate of about 2.9 million shares of its Class A common stock and warrants to purchase up to 1.31 million additional shares, at a price of $2.40 a unit. Shares fell 9.7% to $2.62 premarket.

An affiliate of buyout firm Apollo Global Management LLC(APO) agreed to purchase CEC Entertainment Inc.(CEC), the parent of Chuck E. Cheese’s, for about $950 million, following a review of the company’s strategic alternatives by CEC’s board. Apollo plans to pay $54 in cash per CEC share. Shares topped the offer price in premarket trading, rising 13% to $54.59.
